Terms of Service for ReadyChatAI.com

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts to use the Service. By creating an account, you represent and warrant that you meet these requirements.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

3.3 Account Security

You must immediately notify ReadyChatAI of any unauthorized use of your account or any other breach of security. ReadyChatAI will not be liable for any loss or damage arising from your failure to protect your account credentials.

4.1 Illegal Activities

Users are STRICTLY PROHIBITED from using ReadyChatAI for any illegal activity whatsoever. This includes but is not limited to:

• Fraud, money laundering, or financial crimes
• Harassment, threats, or intimidation
• Distribution of illegal goods or services
• Violation of intellectual property rights
• Data theft or unauthorized access to systems
• Spamming or phishing activities
• Any activity that violates local, state, federal, or international laws

4.2 Forbidden Territories and Compliance

Users are solely responsible for ensuring their use of ReadyChatAI complies with all applicable laws, regulations, and industry standards in their jurisdiction and the jurisdictions of their customers. Users shall NOT use ReadyChatAI:

• In territories where such use is prohibited by law or regulation
• With customers or for purposes prohibited by applicable sanctions, export controls, or trade restrictions
• In violation of any industry-specific regulations (including but not limited to GDPR, CCPA, HIPAA, or other data protection laws)
• To interact with individuals or entities on restricted or sanctioned lists

4.2.1 Export Control and Sanctions Compliance

User shall not use the Service in any country or territory subject to comprehensive U.S. sanctions or embargoes, including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea region of Ukraine. User shall not use the Service to interact with or provide services to any person or entity:

• Listed on any U.S. government restricted party list (including the Specially Designated Nationals List, Entity List, or Denied Persons List)
• Subject to sanctions or export restrictions under U.S. or international law
• Located in or operating from a sanctioned territory

User represents and warrants that User and User's customers are not subject to such restrictions. Violation of export control or sanctions laws will result in immediate termination and User shall be liable for all resulting damages to ReadyChatAI.

4.3 Additional Prohibited Uses

Users may not:

• Use the Service to transmit malware, viruses, or any harmful code
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Impersonate any person or entity
• Collect or harvest information about other users without consent
• Use the Service for automated bulk messaging or spam
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to generate misleading, deceptive, or false content
• Violate any third-party rights, including privacy or intellectual property rights
• Use the Service if User is a direct competitor of ReadyChatAI for competitive intelligence, benchmarking, or to build competitive or substantially similar products or services

4.4 Competitor Restrictions

Users who are direct competitors of ReadyChatAI, or who are affiliated with competitors, are prohibited from accessing or using the Service without ReadyChatAI's prior written consent. ReadyChatAI reserves the right to determine, in its sole discretion, whether an entity is a competitor. Violation of this provision will result in immediate account termination and may result in legal action.

5.1 Reputational Damage

User acknowledges and agrees that any use of ReadyChatAI in forbidden territories, for illegal activities, or with prohibited customers may cause severe damage to ReadyChatAI's reputation, business relationships, and goodwill. User shall be fully liable for any such damage.

5.2 Indemnification

User agrees to indemnify, defend, and hold harmless ReadyChatAI, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• User's violation of these Terms
• User's use of the Service for illegal activities
• User's use of the Service in forbidden territories or with prohibited customers
• Any damage to ReadyChatAI's reputation caused by User's actions
• User's violation of any law, regulation, or third-party rights
• Any content or data User submits, posts, or transmits through the Service
• Any dispute between User and any third party

6.1 Fees

ReadyChatAI charges fees for access to the Service as described in the pricing plan selected by User. All fees are non-refundable unless otherwise stated in writing by ReadyChatAI.

6.2 Billing

User agrees to pay all fees associated with their selected plan. Subscription fees are billed in advance on a recurring basis (monthly, annually, or as otherwise specified). User must provide valid payment information and authorizes ReadyChatAI to charge the applicable fees to the provided payment method.

6.3 Price Changes

ReadyChatAI reserves the right to change its fees at any time upon reasonable notice. Continued use of the Service after fee changes take effect constitutes acceptance of the new fees.

6.4 Late Payment

Failure to pay fees when due may result in immediate suspension or termination of User's account and access to the Service.

7.1 Termination by ReadyChatAI

ReadyChatAI reserves the right to suspend or terminate User's account and access to the Service at any time, for any reason or no reason, with or without notice, at ReadyChatAI's sole discretion. Reasons for termination may include, but are not limited to:

• Violation of these Terms
• Illegal activity or suspected illegal activity
• Use of the Service in forbidden territories
• Damage or potential damage to ReadyChatAI's reputation
• Non-payment of fees
• Fraudulent or suspicious activity
• Any other reason deemed appropriate by ReadyChatAI

7.2 No Liability for Termination

User acknowledges and agrees that ReadyChatAI shall have NO LIABILITY OR PENALTY to User for termination or suspension of the Service, regardless of:

• The impact on User's business operations
• Lost revenue or business opportunities
• Loss of data or customer relationships
• Any other direct, indirect, incidental, or consequential damages

User waives any and all claims against ReadyChatAI arising from termination or suspension of the Service.

7.3 Effect of Termination

Upon termination:

• User's right to access and use the Service immediately ceases
• ReadyChatAI may delete User's account and all associated data
• User remains liable for all fees incurred prior to termination
• Sections of these Terms that by their nature should survive termination shall survive

7.4 Termination by User

User may terminate their account at any time by contacting ReadyChatAI. User remains responsible for all fees incurred prior to termination, and no refunds will be provided for unused portions of prepaid services.

8.1 ReadyChatAI Ownership

The Service, including all software, algorithms, designs, graphics, text, and other content provided by ReadyChatAI, is owned by ReadyChatAI and is protected by copyright, trademark, and other intellectual property laws. User is granted a limited, non-exclusive, non-transferable license to use the Service solely as permitted by these Terms.

8.2 User Content

User retains ownership of any content, data, or information User submits to or through the Service ("User Content"). By submitting User Content, User grants ReadyChatAI a worldwide, non-exclusive, royalty-free license to use, copy, store, process, and transmit User Content solely to provide and improve the Service.

8.3 Feedback

Any feedback, suggestions, or ideas User provides to ReadyChatAI regarding the Service may be used by ReadyChatAI without any obligation to User.

9.1 Data Collection

ReadyChatAI collects and processes data as described in its Privacy Policy, which is incorporated into these Terms by reference. User is responsible for reviewing the Privacy Policy.

9.2 User Responsibility for Data Compliance

User is solely responsible for ensuring that their collection, use, and processing of customer data through the Service complies with all applicable data protection laws and regulations, including obtaining necessary consents from end users.

9.3 Data Security

While ReadyChatAI implements reasonable security measures to protect data, User acknowledges that no system is completely secure. ReadyChatAI is not responsible for unauthorized access to User's data resulting from circumstances beyond ReadyChatAI's reasonable control.

10.1 No Service Level Agreement

ReadyChatAI does NOT provide any Service Level Agreement (SLA) or uptime guarantee. The Service may be unavailable from time to time for maintenance, updates, or for any other reason. ReadyChatAI is not liable for any Service interruptions or downtime.

10.2 Message Volume Limits and Plan Restrictions

User's access to the Service is subject to the message volume limits, feature restrictions, and other limitations specified in User's selected pricing plan. ReadyChatAI reserves the right to modify these limits at any time upon reasonable notice to User. Continued use of the Service after such modifications constitutes acceptance of the new limits.

10.3 Rate Limiting and Throttling

ReadyChatAI reserves the right to throttle, rate limit, or restrict User's access to the Service at any time to:

• Prevent abuse or excessive use
• Maintain Service stability and performance
• Ensure fair usage across all customers
• Comply with third-party service provider requirements
• Protect against security threats or suspicious activity

User acknowledges that such throttling or rate limiting may occur without prior notice.

10.4 Brand Safety and Content Moderation

ReadyChatAI is committed to maintaining brand safety and a positive platform reputation. ReadyChatAI reserves the right to:

• Monitor conversations and User Content for compliance with these Terms
• Employ automated and manual content moderation systems
• Immediately suspend or terminate accounts that generate, transmit, or facilitate:

Hate speech, discriminatory content, or harassment

• Adult or sexually explicit content
• Violence or threats of violence
• Misinformation or deliberately deceptive content
• Content that violates community standards or brand safety guidelines
• Any other content deemed inappropriate by ReadyChatAI in its sole discretion

User acknowledges that content moderation decisions are made at ReadyChatAI's sole discretion and may result in immediate account termination without refund.

11.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

ReadyChatAI does not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will meet User's requirements

11.2 AI Limitations

User acknowledges that the Service uses artificial intelligence, which may produce inaccurate, inappropriate, or unexpected results. User is solely responsible for reviewing and approving all AI-generated content before use with customers.

11.3 Beta Features

ReadyChatAI may from time to time offer beta, pilot, or experimental features ("Beta Features"). Beta Features are provided "AS IS" with no warranties whatsoever and may be unstable, incomplete, or subject to significant changes or discontinuation without notice. ReadyChatAI has no liability for any issues, data loss, or damages arising from use of Beta Features. User uses Beta Features at their own risk.

11.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, READYCHATAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF READYCHATAI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL READYCHATAI'S TOTAL LIABILITY TO USER FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT PAID BY USER TO READYCHATAI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, ReadyChatAI's liability will be limited to the maximum extent permitted by law.

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Chicago, Illinois. User waives any right to a jury trial.

13.3 Class Action Waiver

User agrees that any arbitration or proceeding shall be conducted on an individual basis only and not as a class action, consolidated action, or representative action.

15.1 Use of Customer Name and Logo

User grants ReadyChatAI the right to use User's name, logo, and trademarks in ReadyChatAI's marketing materials, website, customer lists, presentations, and promotional content to identify User as a ReadyChatAI customer. This includes but is not limited to:

• Listing User's name and logo on ReadyChatAI's website
• Including User in customer case studies or success stories (subject to User approval of specific content)
• Referencing User in sales presentations and promotional materials
• Using User's name in press releases or announcements

15.2 Opt-Out

User may opt out of this publicity right by providing written notice to ReadyChatAI at legal@readychatai.com. Opt-out requests will be processed within thirty (30) days of receipt.

16.1 Modification of Terms

ReadyChatAI reserves the right to modify these Terms at any time. When changes are made, ReadyChatAI will provide notice by:

• Posting the updated Terms with a new "Last Updated" date
• Sending notification to User's registered email address
• Displaying a notice within the Service

User's continued use of the Service after such notice constitutes acceptance of the modified Terms.

16.2 Regulatory and Legal Changes

In the event of changes to applicable laws, regulations, or legal requirements (including but not limited to new AI regulations, data protection laws, or export control requirements), ReadyChatAI may modify these Terms or the Service with shorter notice periods or immediate effect as necessary to maintain legal compliance. ReadyChatAI shall not be liable for any impacts to User resulting from such compliance-related changes.

16.3 Service Modifications

ReadyChatAI reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. ReadyChatAI shall not be liable to User or any third party for any modification, suspension, or discontinuation of the Service.

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or agreements published by ReadyChatAI, constitute the entire agreement between User and ReadyChatAI regarding the Service.

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver

ReadyChatAI's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

User may not assign or transfer these Terms or any rights hereunder without ReadyChatAI's prior written consent. ReadyChatAI may assign these Terms without restriction.

17.5 Force Majeure

ReadyChatAI shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, or government actions.
